Fred Gumbel, President and Chief Executive Officer |

Fred Gumbel assumed the role of CEO of WAY Systems in October, 2006. Gumbel has over thirty years of experience in the financial services industry, including having served as President of the EDS Electronic Commerce Strategic Business Unit and the founding Chairman, President and CEO of Vital Processing Services. Prior to holding these positions, Gumbel held senior executive positions with First Bank System and Citicorp. Since leaving Vital in 1998, he has served as CEO of Payment Insight, a leading consulting firm to the finnacial services industry with clients including financial institutions, payment processors and a number of airlines and other organizations. Gumbel also served in the United States Army and received a Bachelor of Science in Business Administration from Western Kentucky University prior to beginning his successful career in business. |

Lance joined WAY Systems as its Chief Technology Officer after a distinguished 22-year career at VeriFone. Truly one of the industry’s pioneers having joined VeriFone as the company’s 17th employee in March of 1984, Lance held various management positions, including VP of Engineering, Director of Development Services, VP of Systems Products Development, and Chief Architect. Lance brings a broad base of experience in all aspects of product life-cycle, from definition, through development, to manufacture, support and end-of-life. |

Jim Norton, Chief Financial Officer |

Jim Norton brings to WAY Systems more than 30 years experience building and directing the finance function of multinational companies. He has been CFO of Petra Fashions and Fetco Home Décor two venture backed private companies and CFO of Sight Resource Corporation a Nasdaq listed company. Jim has extensive international experience with retail industry leaders Dunkin' Donuts and Baskin Robbins plus high tech manufacturers, Analog Devices and Unitrode Corporation. He has been a Board of Directors member for international joint ventures in Asia and Europe and completed an expat turnaround assignment in Mexico.
Jim holds a Masters in Business Administration from Babson College in Wellesley, Massachusetts and a B.A. in Accounting from the Isenberg School of Management at the University of Massachusetts Amherst. |

Randall R. Wheeler, Chief Marketing Officer, Worldwide Sales, brings over thirty years of electronic payments industry experience. Prior to joining Way Systems, Randy was Executive Vice President, Sales and Marketing at Lipman USA where he led sales growth and profitability to record levels with a major emphasis on wireless POS. Prior to Lipman USA, Randy served as Senior Vice President, Global Product Development at MasterCard International developing issuing and acquiring programs and products, primarily in international markets. Prior to MasterCard International, he held the position of Director of Marketing at Diebold, Inc., where he was involved in various aspects of electronic payments products and solutions culminating in the development of Campus Card Systems, a new market for Diebold; securing the market share leader position in two short years. Randy was a key contributor to the development of Diebold’s Corporate Five Year Strategic Plan which resulted in a doubling of annual revenues in three years. Previously, Randy was Assistant Vice President for Bank of America and a pioneer in the ATM and POS markets with BankAmericard. Randy has a diverse background including Marketing, Sales Management, Product Development and Management, International, Operations and Strategic Planning. Randy earned his Bachelor’s degree in Business Administration at Malone College and Executive MBA at Kent State University, both in Ohio. |

| David Reibel, Vice President and General Counsel | |

David Reibel joined Way Systems as Vice President and General Counsel in December 2006. In addition to managing the Company’s worldwide legal function, he has been charged by the CEO with the responsibility for coordinating strategic initiatives. David has held several General Counsel positions for public and private companies prior to Way Systems, including Aprisma Management Technologies, the software division of Enterasys Networks (formerly known as Cabletron Systems), as well as European-based Esprit Telecom and First Telecom. David also has entrepreneurial experience as a founder of a law firm, operational experience as a Chief Operating Officer and government experience as a legislative aide to a Congressman. He trained as an associate with two law firms, Skadden, Arps and McKenna & Cuneo, in Washington, DC. David received his J.D. from Stanford Law School and his A.B. from the University of Michigan. David also completed the Erasmus program in international and European law at the University of Leiden in the . |

Jon Schau, Vice President - Engineering |

|
Jon Schau has a track record of managing development teams to deliver high technology products on time and on budget. Jon brings with him experience in managing all engineering disciplines, and strong product development skills. He also has organizational management experience within small and large organizations.
Prior to joining WAY, Jon served as vice president of engineering at Polycom, where he led the development of multiple video conferencing products, including both conference room based products and desktop products. Prior to that, Jon served as vice president of engineering at PictureTel, with responsabilities for both client and server video development teams. At PictureTel, he led the post acquisition merger of PictureTel and Polycom engineering organizations.
Before PictureTel, Jon held multiple development and management roles at CNR, an RF communications startup, where he developed RF communications products and protocols, and at GTE Strategic Systems, a supplier of command and control systems. |

Harry Hargens, Vice President - Product Management |

|
Harry Hargens has over 23 years of experience in the payment industry leading product management and development, sales and marketing. Mr. Hargens worked for POS vendors such as VeriFone, Omron, as well as payment processing companies like TransNet (now Paymentech), HONOR Network (now STAR), National Data (now Global Payments), to enable credit/debit card transactions at the point of sale and in eCommerce. Mr. Hargens has worked for large enterprise as well as start up companies, having founded and led his own debit processing company (Kryptosima) as CEO for nearly five years. Mr. Hargens graduated from the Illinois Institute of Technology with a BSEE, and received his MBA from University of Chicago with honors.

Eric Lecesne, Vice President of Manufacturing and Supply Chain |

Prior to joining Way Systems, Mr. Lecesne was principal at ECL International a consulting company he founded. From 2002 to 2005, Mr. Lecesne was General Manager, Executive Vice-President and Chief Technology Officer in charge of Marketing, R&D and Manufacturing for Ingenico, a leader in secure transaction equipment. From 1999 to 2002, Mr. Lecesne was General Manager at VeriFone in charge of Marketing and R&D. He also worked at Cosine Communications and Hewlett-Packard where he held various positions in engineering and general management for telecommunication equipments and high end servers. Mr. Lecesne is a graduate of the Polytechnic Institute of Grenoble (France) were he earned an engineering degree in Electrical Engineering.
